By joining a Rinney crew room, completing the opt-in process, or otherwise using the Rinney service, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, do not use the Rinney service. If you are using Rinney on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
These Terms constitute a legally binding agreement between you and House of Hayes, Inc., a New York corporation operating as Rinney ("Rinney," "we," "us," or "our").

Rinney is a task-specific coordination and booking assistant that operates within WhatsApp group rooms. The service is designed to help friend groups and crews:
Rinney is not: a general-purpose AI assistant, a travel agency, a money transmitter, a financial advisor, or a guarantor of any third-party product or service. Rinney does not make reservations autonomously on your behalf — it facilitates the handoff to booking platforms and human confirmation at every payment step.
The service operates on the WhatsApp Business Platform. Rinney is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or WhatsApp, Inc.

You must be at least 13 years of age (or the minimum age required to use WhatsApp in your jurisdiction, whichever is greater) to use Rinney. By using the service, you represent and warrant that you meet this requirement.
Rinney is currently available to users in the United States. Access from other jurisdictions is not currently supported and may be restricted without notice.

Rinney will never send you a message without your explicit opt-in consent. Before any crew member receives messages from Rinney, they must complete an opt-in flow that:
By completing the opt-in flow, you consent to receive coordination-related messages from Rinney, including proposals, polls, booking confirmations, event reminders, and periodic crew digests.
You may opt out at any time by replying STOP to any Rinney message, or by contacting us at [email protected]. Opting out will stop all proactive messages but may limit your ability to participate in crew coordination features.

By using Rinney, you agree to:

Important: Rinney does not hold, transfer, or custody any funds at any time. All payments flow directly between you and the merchant or booking platform via Stripe-hosted checkout links. Rinney is not a money transmitter and does not accept deposits.
When a crew reaches consensus on a plan, Rinney designates a lead member to execute the booking. Rinney generates a Stripe-hosted payment link connected to the merchant or booking platform. Before the link is activated, Rinney presents a confirmation gate displaying:
You must affirmatively confirm before any payment is processed. Once a non-refundable booking is confirmed, Rinney cannot reverse it. Disputes must be addressed directly with the merchant.
Rinney may provide a summary of amounts owed between crew members (similar to Splitwise) as a convenience. This is informational only. Rinney does not facilitate peer-to-peer money transfers and is not responsible for reimbursements between crew members.
Rinney prepares booking handoffs based on information available at the time of the proposal. Rinney is not responsible for availability changes, price changes, or errors that occur on the merchant's platform between the time of proposal and the time of booking. Always verify current availability and pricing before confirming.

Rinney may offer subscription plans ("Crew Membership") that unlock additional features including booking facilitation, deal-finding, and the annual crew value statement. Pricing, billing frequency, and included features will be disclosed at the time of subscription.

You may not use Rinney to:
Violation of these prohibitions may result in immediate suspension or termination of your access to Rinney.

The Rinney name, wordmark, logo, brand identity, and all associated software, content, and materials are the property of House of Hayes, Inc. and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use Rinney's trademarks, logos, or brand assets without our prior written consent.
You retain ownership of the content you share in Rinney crew rooms. By using the service, you grant Rinney a limited, non-exclusive license to process, store, and use your content solely to provide the coordination service to your crew.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
Rinney's AI-generated proposals and suggestions are provided as a convenience. You are solely responsible for verifying the accuracy and suitability of any plan before confirming a booking and payment.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HOUSE OF HAYES, INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
Our total liability to you for any claim arising out of or relating to these Terms or the service shall not exceed the greater of: (a) the total fees paid by you to Rinney in the twelve months preceding the claim, or (b) one hundred dollars ($100).
These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if Rinney has been advised of the possibility of such damages. Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

You agree to defend, indemnify, and hold harmless House of Hayes, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the service; (b) your violation of these Terms; (c) your violation of any third-party rights, including those of other crew members; or (d) any content you share in a Rinney crew room.

Rinney integrates with or links to third-party services including WhatsApp, Stripe, Google Calendar, Microsoft Outlook, and various booking platforms. These services are governed by their own terms and privacy policies, which you should review independently.
Rinney is not responsible for the content, availability, or practices of third-party services. The inclusion of a booking link or merchant suggestion does not constitute an endorsement by Rinney of that merchant or service.

We reserve the right to suspend or terminate your access to Rinney at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms, is harmful to other users, is harmful to Rinney, or for any other reason.
You may stop using Rinney at any time by leaving all Rinney crew rooms and contacting us to delete your account. Upon termination, your right to use the service ceases immediately. Sections of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, and dispute resolution) will survive.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
For any dispute arising out of or relating to these Terms or the Rinney service, we encourage you to first contact us at [email protected] to seek an informal resolution. We will try to resolve disputes within 30 days of receiving written notice.
If informal resolution fails, disputes shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights.
Class action waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and Rinney individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.
This arbitration agreement does not apply to residents of jurisdictions where such agreements are not enforceable under applicable law.

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. For disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

We may update these Terms from time to time. When we make material changes, we will notify you by sending a message through your Rinney crew room and updating the effective date at the top of this page. Your continued use of Rinney after the effective date constitutes acceptance of the revised Terms.
If you do not agree to revised Terms, you must stop using the service and may request account deletion by contacting [email protected].
